End User License Agreement (EULA)

Agreement to Terms
This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Gidens, LLC ("Gidens," "we," "our," or "us") governing your access to and use of the Gidget platform and all related features, tools, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
License Grant
Subject to your compliance with this Agreement, Gidens grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to sublicense, resell, or distribute the Service to third parties.
The Service
Gidget is an AI-powered business assistant designed to help small and enterprise businesses automate back-office workflows, manage forms and permits, triage business communications, and connect data across business applications. Features include but are not limited to:
- AI-powered conversational assistant (Gidget)
- Third-party application integrations (Connected Applications)
- The Triage Room — a data intelligence and workflow automation pipeline
- Form automation and document management
- Workflow analysis and automation tools
Connected Applications
The Service allows you to connect third-party business applications including, but not limited to, CRM platforms, accounting software, communication tools, and other business productivity applications ("Connected Applications"). By connecting a third-party application, you:
- Authorize Gidens to access and process data from that application on your behalf
- Represent that you have the right and authority to grant such access
- Acknowledge that the third-party application's own terms of service and privacy policies apply to your use of that application
- Understand that Gidens is not responsible for the availability, accuracy, or conduct of any Connected Application
You may disconnect any Connected Application at any time through the Integrations tab in your dashboard. Gidens reserves the right to add, modify, or discontinue support for any Connected Application at any time.
The Triage Room
The Triage Room is a proprietary feature of Gidget that processes your business data — including data from Connected Applications — to identify insights, flag sensitive information, surface action items, and facilitate workflow automation. Your use of the Triage Room is subject to the following:
- Data processed through the Triage Room remains your property
- Gidens processes Triage Room data solely to provide the Service to you
- Sensitive data categories identified by the Triage Room are handled in accordance with our Privacy Policy
- You are responsible for ensuring that your use of the Triage Room complies with applicable laws and any obligations you have to your own customers or employees
User Responsibilities
You agree to:
- Provide accurate and complete account information
- Maintain the confidentiality of your login credentials
- Use the Service only for lawful business purposes
- Not use the Service to process data you do not have the right to access or share
- Not attempt to reverse engineer, decompile, or circumvent any security features of the Service
- Not use the Service to transmit harmful, fraudulent, or illegal content
- Comply with all applicable laws and regulations, including data privacy laws relevant to your business
Intellectual Property
The Service, including all software, features, designs, content, and AI models, is owned by Gidens and protected by intellectual property laws. This Agreement does not transfer any ownership rights to you. Your data and content remain your property. You grant Gidens a limited license to process your data solely for the purpose of providing the Service.
Fees and Payment
Certain features of the Service may require a paid subscription. Pricing, billing terms, and payment schedules are described at the time of purchase or in your service agreement. Gidens reserves the right to modify pricing with reasonable notice. All fees are non-refundable unless otherwise stated.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GIDENS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED OUTPUTS FROM GIDGET ARE FOR INFORMATIONAL PURPOSES AND DO NOT CONSTITUTE LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GIDENS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR BUSINESS INTERRUPTION, EVEN IF GIDENS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO GIDENS IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Termination
Either party may terminate this Agreement at any time. You may terminate by deleting your account. Gidens may terminate or suspend your access if you violate this Agreement or for any other reason with reasonable notice. Upon termination, your license to use the Service ends and we will handle your data in accordance with our Privacy Policy.
Governing Law
This Agreement shall be governed by the laws of the State of Hawaii, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts located in Honolulu, Hawaii.
Changes to This Agreement
Gidens may update this Agreement from time to time. We will notify you of material changes by posting the updated Agreement with a new effective date. Continued use of the Service after changes are posted constitutes acceptance of the updated Agreement.
